Terms of Service

1. Purpose

These Terms of Service (hereinafter the "Terms") define the conditions of access and use of the DeskPulse service, accessible via the website deskpulse.app and the DeskPulse software (hereinafter the "Software"), published by DeskPulse (hereinafter "DeskPulse", "we", "our" or "us").

Use of the Service implies full and unreserved acceptance of these Terms. If you do not accept these conditions, you must not use the Service.

2. Definitions

  • Service: all IT fleet management, automatic backup, and remote support features for Windows PCs offered by DeskPulse, accessible via the online platform and the Software.
  • Software: the DeskPulse software installed on the Windows computers to be managed.
  • User: any natural or legal person who creates an account and uses the Service.
  • Manager: the User who holds the DeskPulse account and installs and configures the Software on the computers to be managed.
  • Managed Computer: any Windows computer on which the Software is installed.
  • Account: the User's personal space, accessible after registration on the deskpulse.app platform.

3. Registration and Access to the Service

3.1. Account Creation

Access to the Service requires the creation of an account on the deskpulse.app platform. The User must provide a valid email address and a password. The User guarantees the accuracy of the information provided.

3.2. Age Requirements

Account creation is reserved for persons who are at least 18 years old or have reached the legal age of majority in their country of residence. By creating an account, the User declares and warrants that they meet this requirement.

3.3. Account Security

The User is solely responsible for the confidentiality of their login credentials. Any activity carried out from their account is deemed to have been performed by the User. In the event of suspected unauthorized use, the User must immediately notify DeskPulse immediately.

4. Description of the Service

The DeskPulse Service allows the Manager to remotely manage their fleet of Windows computers. Features include:

  • File manager: remote browsing, viewing and file transfer.
  • Remote control: locking, restarting, shutting down the computer and executing system commands.
  • Configurable installation: deployment and customizable settings.

DeskPulse reserves the right to modify the Service's features at any time, in particular to improve quality or extend capabilities.

5. Free Trial

DeskPulse offers a 10-day free trial, with no commitment and no credit card required. The trial provides access to all Service features. At the end of the trial period, the User must subscribe to a paid plan to continue using the Service. Otherwise, access to the Service will be suspended.

6. Subscription and Pricing

6.1. Pricing

The Service is offered as a monthly subscription, billed per managed computer. Current prices are displayed on deskpulse.net and may vary by currency. All features are included in a single price.

6.2. Payment

Payments are processed by our provider LemonSqueezy. The User accepts LemonSqueezy's payment terms upon subscription. DeskPulse does not store the User's credit card information.

6.3. Renewal

The subscription is automatically renewed at each monthly billing date, unless cancelled by the User before the renewal date. The User may cancel their subscription at any time from their account dashboard.

6.4. Price Changes

DeskPulse reserves the right to modify its prices at any time. Any price change will be communicated to the User by email at least 30 days before it takes effect. The User who does not accept the change may cancel their subscription before the new price takes effect.

7. User Obligations

7.1. Lawful Use

The User agrees to use the Service lawfully and in accordance with these Terms. In particular, the User must:

  • Inform users of managed computers about the installation and use of the Software, in accordance with the laws applicable in their jurisdiction.
  • Only install the Software on computers belonging to the User's organization or for which they have legal authorization to administer.
  • Comply with local regulations regarding IT fleet management and data protection.
  • Not use the Service for illegal purposes or any infringement of the rights of others.

7.2. Authorized Use

The Service is intended exclusively for the following uses:

  • IT fleet management: administration, maintenance, and remote support of computers belonging to the User's organization, in compliance with applicable labor law.
  • Data backup: automatic backup and recovery of files on managed workstations.
  • Support and training: remote assistance and staff training via remote desktop.

7.3. Prohibited Uses

The User is prohibited from:

  • Installing the Software on a computer without legal authorization.
  • Attempting to circumvent the Service's security measures.
  • Reselling, sublicensing or making the Service available to third parties without authorization.
  • Disassembling, decompiling or attempting to reconstruct the Software's source code.
  • Using the Service in a manner likely to impair its operation or that of DeskPulse's servers.

8. Intellectual Property

The Service, the Software, the website and all associated content (text, images, logos, software, databases) are the exclusive property of DeskPulse and are protected by applicable intellectual property laws.

Subscription to the Service grants the User a personal, non-exclusive, non-transferable and non-assignable right of use, limited to the duration of the subscription. This right does not confer any ownership rights over the Service or the Software.

9. Personal Data

The collection and processing of personal data in connection with the Service are governed by our Privacy Policy, which forms an integral part of these Terms.

The User acknowledges that data collected by the Software on managed computers (files) is their responsibility as Manager. DeskPulse acts as a data processor for such data within the meaning of the GDPR.

10. Service Availability

DeskPulse strives to ensure the availability of the Service 24 hours a day, 7 days a week. However, DeskPulse does not guarantee uninterrupted operation and reserves the right to temporarily suspend access to the Service for maintenance, updates or in the event of force majeure.

DeskPulse shall not be held liable for service interruptions related to network issues, third-party server failures or any other event beyond its control.

11. Limitation of Liability

The Service is provided "as is". To the fullest extent permitted by applicable law, DeskPulse disclaims all warranties, express or implied, including warranties of fitness for a particular purpose and non-infringement.

In no event shall DeskPulse be liable for:

  • Indirect, incidental, special or consequential damages arising from the use or inability to use the Service.
  • Loss of data, revenue or profits.
  • Use of the Service in violation of applicable laws by the User.
  • Consequences arising from the use of the Software on computers for which the User does not have the necessary authorization.

DeskPulse's total liability under these Terms is limited to the amounts actually paid by the User during the 12 months preceding the event giving rise to liability.

12. Suspension and Termination

12.1. By the User

The User may cancel their subscription at any time from their account dashboard. Cancellation takes effect at the end of the current billing period. The User may also request the deletion of their account and all associated data by contacting DeskPulse.

12.2. By DeskPulse

DeskPulse reserves the right to suspend or terminate access to the Service, without notice or compensation, in the event of:

  • Violation of these Terms by the User.
  • Use of the Service for illegal or unethical purposes.
  • Non-payment of the subscription.
  • Conduct likely to impair the operation of the Service or the rights of third parties.

12.3. Effects of Termination

Upon termination, access to the Service is immediately deactivated. User data is deleted in accordance with our Privacy Policy. Amounts already paid are non-refundable, unless otherwise required by law.

13. Changes to These Terms

DeskPulse reserves the right to modify these Terms at any time. Any changes will be posted on this page with a revised update date. The User will be notified by email of material changes at least 30 days before they take effect. Continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

14. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. In the event of a dispute relating to the interpretation or performance of these Terms, the parties shall endeavor to find an amicable solution. Failing this, the competent courts of Hong Kong shall have exclusive jurisdiction.

15. Miscellaneous

  • Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between the User and DeskPulse regarding the use of the Service.
  • Severability: if any provision of these Terms is held to be void or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: failure by DeskPulse to exercise any right under these Terms shall not constitute a waiver of that right.
  • Assignment: the User may not assign their rights and obligations under these Terms without DeskPulse's prior written consent.
